1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and EsRā Dunca-Sprawling Inc.—including its executive team (EsRā Dunca-Sprawling and Andrei George Dunca) and its managed entities, subsidiaries, and associated brands (including but not limited to Sean Sprawling Productions LLC, TSLĀ Records LLC, Teak Stage Productions LLC, The Lumarian Covenant of MU, DAISY DAISY 333, EsRā of Dunca-Sprawling Inc. and Richie Vetter of Dunca-Sprawling Inc.; collectively, the "Company", "we", "us", or "our").
These terms govern your access to and use of our digital media, film, television, and music production services, as well as the following websites (collectively, the "Sites"):

By accessing the Sites or using our services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using the Sites and must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Sites and all of our services are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and music on the Sites (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us.
The Content and the Marks are provided on the Sites “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Service, no part of the Sites and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. User Representations

By using the Sites, you represent and warrant that:(1) you have the legal capacity and you agree to comply with these Terms of Service;(2) you are not a minor in the jurisdiction in which you reside;(3) you will not access the Sites through automated or non-human means, whether through a bot, script, or otherwise;(4) you will not use the Sites for any illegal or unauthorized purpose; and(5) your use of the Sites will not violate any applicable law or regulation.

4. SMS & Mobile Communications

If you opt-in to receive SMS or text messages from us, you consent to receive periodic communications regarding our releases, projects, casting, and company news. Standard message and data rates may apply. You may opt-out of these communications at any time by replying "STOP" to any message. As outlined in our Privacy Policy, your SMS opt-in data and consent will never be shared with or sold to third parties for marketing purposes.

5. Prohibited Activities

You may not access or use the Sites for any purpose other than that for which we make the Sites available. The Sites may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Prohibited activities include, but are not limited to:

• Systematically retrieving data or other content from the Sites to create or compile a collection, compilation, database, or directory without written permission from us.
  
• Circumventing, disabling, or otherwise interfering with security-related features of the Sites.

We also reserve the right to modify or discontinue all or part of the Sites without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Sites.

7. Governing Law

These terms and conditions and your use of the Sites are governed by and construed in accordance with the laws of the State of [Insert State, e.g., California], applicable to agreements made and to be entirely performed within the State, without regard to its conflict of law principles.
